“Show Us Your Best Brooklyn Style” Video Contest NO PURCHASE NECESSARY 1. ELIGIBILITY: Entrants must be 21 years of age or older and must be legal residents of the contiguous 48 United States or the District of Columbia at time of entry. Void where prohibited. Employees, officers and directors of Domino’s Pizza LLC, ("Sponsor") and each of its respective parents, affiliates, subsidiaries, advertising, public relations, and promotional agencies, Webmasters/suppliers, retailers, and franchisees and members of the immediate family (spouse, children, siblings, parents), and persons living in the same household (whether or not related) of each said employee, officer or director are ineligible. By participating, entrants agree to these Official Rules, the decisions of the Video judges regarding Video judging, and the decisions of the Sponsor and/or Ketchum Public Relations which are final and binding in all respects. Official Rules will be available on www.Dominos.com (“Web site”). 2. TO ENTER: You must submit a digital Video with sound of no more than 30 seconds playtime doing your best impression of a resident of Brooklyn, NY. Attach the digital Video file to an e-mail and send to BrooklynStyle@Ketchum.com. The subject line of the e-mail must read “Show Us Your Best Brooklyn Style Contest.” In the e-mail you must also include your name, address, date of birth, day and evening telephone numbers and your e-mail address. The email must be received and recorded by Sponsor’s computer between 11:00 a.m. ET on October 30, 2006 and 11:59 p.m. ET on December 17, 2006 (“Promotion Period”). Once a Video is submitted it cannot be changed, altered or modified. Correspondence and inquiries concerning the Promotion will not be accepted or acknowledged. Videos (a) must be the original and sole creation of, and all right, title and interest including but not limited to the copyright in the Video must be owned solely by, the entrant (b) may not have been submitted in any other competition, (c) may not have been published, (d) may not infringe upon any third party's rights, including but not limited to copyright, patent or trademarks/tradenames/logos, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray in a false light; (e) may not violate any law, rule or regulation, and, (f) may not contain any virus, bugs, or other deleterious material; and each entrant warrants and represents that his/her Video complies with all of those conditions. Non-complying Videos will be subject to disqualification. Entries cannot contain, among other things, the trademark, tradename or logo of any third party (but may contain the trademark, tradename or logo of the Sponsor), cannot name or depict any person (living, dead, or fictional) other than the entrant, cannot contain the voice of any person other than the entrant and cannot contain any material that is protected by copyright. By entering, each participant grants permission for the use of the Video, and his/her name, to be posted on the World Wide Web in connection with this Contest, and the advertising, promotion, and publicity of the Contest, and otherwise, as stated in these Official Rules (as solely determined by Sponsor). Any entry, which in the sole opinion of Ketchum Public Relations and/or Sponsor, is deemed to be inappropriate for publication will be deemed ineligible. Sponsor will be collecting personal data about participants online, in accordance with its Privacy Policy. Sponsor’s Privacy Policy is available at http://www.dominos.com/Public-EN/Footer/Privacy+Policy/. By participating in the Promotion, entrants hereby agree to Sponsor’s collection and usage of their personal information in accordance with that Privacy Policy and acknowledge that they have read and accepted Sponsor’s Privacy Policy. All entries will become the sole property of Sponsor and will not be acknowledged or returned. Limit one entry per person/e-mail address. Multiple or duplicate entries received will be disqualified. Any attempt by any participant to obtain more than one (1) entry by using multiple/different e-mail addresses, identities or any other methods will void that participant’s entries and that participant will be disqualified. Sponsor’s computer is the official timekeeping device for this Promotion. No form of entry other than as stated in these Official Rules will be accepted. 3. FIRST ROUND JUDGING: Eligible entries received and recorded by Sponsor’s computer from qualified entrants each week will be judged by a panel of judges composed of employees of Ketchum Public Relations whose decisions are final and binding on all judging matters related to the First Round Judging of this Promotion. (A week begins at 11:00 a.m. ET on Monday and ends at 10:59:59 a.m. the following Monday, except the last week which ends on Sunday December 17, 2006 at 11:59 p.m. ET) Judging will be based on the following criteria: 1) Creativity/Uniqueness (33 1/3%), 2) Relevance To Theme (33 1/3%), 3) Enthusiasm (33 1/3%). Each week judges will judge all Videos received for that week and the Video that receives the highest combined cumulative score for all of the criteria for that week will be deemed that week’s finalist and advance to the Finalist Round of Judging. In the event of a tie, the Video with the highest score in the Creativity/Uniqueness criterion will be declared the tie winner of the week’s First Round Judging. If tie continues, the Video with the highest score in the Relevance To Theme criterion will be declared the tie winner. If tie continues the tied entries will be re-judged by a new judge who will serve as a tie-breaker using the same criteria as stated herein. The finalist for each week will be notified by mail, overnight or in such other manner as solely determined by Sponsor on or about 5 business days after the completion of that week’s judging. 4. FINALIST ROUND JUDGING: The seven (7) weekly finalists will be judged by a new panel of judges composed of employees of Sponsor whose decisions are final and binding on all judging matters related to the Finalist Round Judging of this Promotion. Judging will be based on the following criteria: 1) Creativity/Uniqueness (33 1/3%), 2) Relevance To Theme (33 1/3%), 3) Enthusiasm (33 1/3%) The Video that receives the highest combined cumulative score for all of the criteria will be deemed The Grand Prize winner. In the event of a tie, the score in the Creativity/Uniqueness criterion will be declared the tie winner. If tie continues, the Video with the highest score in the Relevance To Theme criterion will be declared the tie winner. If tie continues the tied entries will be re-judged by a new judge who will serve as a tie-breaker using the same criteria as stated herein. Grand prize winner will be notified by mail, overnight or in such other manner as solely determined by Sponsor on or about January 5, 2007. 5. PRIZES: Seven (7) Weekly Finalist Prizes and One (1) Grand Prize: Each of the seven (7) weekly winners will receive Pizza for a Month gift certificates from Sponsor awarded as 20 Sponsor coupons of $5 each. One Grand Prize winner will receive a trip for winner and one (1) guest (who must be at least 21 years of age) to Las Vegas, Nevada’s “other” New York, or to New York City, to be selected by grand prize winner. Trip consists of round trip coach air transportation, on a carrier designated by Sponsor, from major commercial airport near winner’s U.S. residence (as determined by Sponsor) for winner and guest to a major commercial airport near destination city, as determined by Sponsor], one room standard double occupancy hotel accommodations, in Las Vegas or New York (at a hotel selected by Sponsor)for 4 nights and 5 days, and a $200 gift card, valid in either New York or Las Vegas, awarded to winner (gift card subject to its terms/conditions/limitations). Approximate Retail Value $5,000. Actual value will depend on final itinerary, and any difference between stated and actual value will not be awarded. Travel must be booked between January 29, 2007 – June 1, 2007 and at least 30 days prior to travel or prize is forfeited. Once travel is booked it cannot be changed without the express consent of Sponsor which may be denied for any reason whatsoever. Travel/accommodations and transportation are subject to availability, change, restrictions and are at the sole discretion of the Sponsor. Certain black-out dates may apply. Expenses not stated are the sole responsibility of the prize winner. If prize winner cannot accept prize as stated, the prize will be forfeited in its entirety and awarded to an alternate winner based on the judging criteria outlined herein. Winner and guest must travel on the same itinerary as determined by Sponsor, and must comply with all security requirements. Sponsor is not liable for delays, cancellations, or unforeseen events related to the Prize. In lieu of the grand prize trip, winner may elect to accept the approximate retail value as stated, $5,000, awarded in the form of a check. Prizes cannot be substituted, assigned or redeemed for cash (except as specifically stated in these Rules) but Sponsor reserves the right to substitute a prize of equal or greater value should a stated prize become unavailable. All federal, state and local taxes are the sole responsibility of the winner. 6. CLAIMING PRIZE/RELEASE: As a condition of winning, and qualifying for the prize the Grand Prize winner will be required to complete, sign and return, within 14 days of the date of notification, an Affidavit of Eligibility and Liability Release and where lawful a Publicity Release. If documents are not returned timely or if prize notification or prize is returned as undeliverable, or if prize winner is found to be ineligible or otherwise not in compliance with these Official Rules, or declines the prize, prize may be forfeited and the prize will be awarded to an alternate winner based on the judging criteria outlined herein. Trip winner’s travel companion must complete, sign and return a Liability Release, and where lawful, a Publicity Release, prior to issuance of travel documents. When a travel companion is determined, that travel companion cannot be changed for any reason without the approval of Sponsor, which may be withheld for any reason whatsoever. 7. GENERAL: By entering, entrants release and agree to indemnify and hold harmless Sponsor, and its parent companies, affiliates, subsidiaries, retailers and franchisees, advertising, public relations and promotion, fulfillment and/or judging agencies, and all of their respective officers, employees, directors, representatives and agents (individually and collectively “Releasees”) from all liability, claims, actions, or proceedings, losses, injuries and damages (whether due to negligence or otherwise) to person(s), including death, and property, or to the breach or failure of any representation or warranty, or to the violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity, slander, libel, or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; or participation in this Promotion, or participation in any Promotion-related or travel-related activity. By claiming a prize, each winner consents (and agrees to confirm that consent in writing upon request) to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of his/her name, voice, photo, picture, and likeness and Video, (and notwithstanding anything to the contrary in these Official Rules licenses the use of the Video which may be edited/modified/altered/changed/used alone, together or with other works, acts or content and/or used in distorted, illusory or composite form, with or without music, comment or commentary, all as solely determined by Sponsor) at any time or times and in all media now known or hereafter discovered or devised, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval. Each winning Video will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then each Prize winner irrevocably sells, assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Video, including all but not limited to all copyright and trademark rights, and waives any rights of droit moral, which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Upon request of Sponsor, the Prize winners shall execute and deliver such additional instrument of assignment and droit moral waiver, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the entry Video and of the copyrights, droit moral waiver, and trademarks transferred. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment, and the stated winner agrees to honor and comply with such request. Sponsor reserves the right not to award the prize if an insufficient number of qualified entries are received. 8. LIMITATIONS OF LIABILITY: Releasees are not responsible for lost, late, stolen, illegible, misdirected, postage due, separated or non-delivered mail, entries or e-mails; or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), email, Web site or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, email or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry, Video, email or other information or the failure to capture, or loss of, any such information. Releasees are not responsible for any Video that cannot be viewed for any reason whatsoever. Releasees are not responsible for any incorrect or inaccurate information, whether caused by Web site users, or by any equipment or programming associated with or utilized in this Promotion, and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of emails or Web site. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or operation of the Promotion or Web site, to be acting in violation of the terms of the Web site or these Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to threaten, abuse or harass any other person. Releasees are not responsible for injury or damage to participants’ or any other person’s computer related to or resulting from participating in this Promotion or downloading, or copying materials from or use of Web site. If, for any reason, Promotion is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend Promotion. In such event, Sponsor reserves the right, at its sole discretion, to determine the winners from entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor. In case of dispute regarding Internet/email entries, the authorized subscriber of the e-mail account used to enter the promotion at the actual time of entry will be deemed to be the participant, and must comply with these Official Rules. The authorized account subscriber is deemed to be the natural person who is assigned an e-mail address by an Internet Access Provider, on-line service provider or other organization which is responsible for assigning e-mail addresses. Any attempt to deliberately damage any Web site or undermine the legitimate operation of the Promotion is unlawful and subject to legal action by Sponsor or its agents. IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE WEB SITE OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID WEB SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS WEB SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. DISPUTE RESOLUTION/CHOICE OF LAW: Except where prohibited, participants agree that: (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in Ann Arbor, Michigan and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion but in no event attorneys' fees; and (c) under no circumstances will participant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and/or Releasees in connection with this Promotion, shall be governed by, and construed in accordance with the laws of the State of Michigan without regard for conflicts of law doctrine of any jurisdiction. 10.
